ARBITRATION NOTICE: Except for certain kinds of disputes described in Section 22, you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND NUGETHOSTING ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.
NugetHosting is a service operated by Loty LLC, doing business as NugetHosting ("NugetHosting", "we", "us", or "our"). These terms and conditions, together with our Privacy Policy (these "Terms of Service" or "Terms"), govern your access to and use of nugethosting.com (our "Website"), our APIs, and any software, application, content, functionality, and services (collectively, the "Services") offered by NugetHosting. Please read these Terms of Service carefully before you start to use or access our Services. By using our Services, you accept and agree to be bound and abide by these Terms. If you are not eligible or do not agree to these Terms, then you do not have permission to use the Services and you must not access or use them.
The Services are intended for users 16 and older. By accessing or using the Services, you represent and warrant that you are at least sixteen (16) years old, that you possess the legal right and ability to enter into these Terms of Service, and to use the Services in accordance with these Terms. If you are between 16 and 18 years of age, you must have parental or guardian consent.

You may register for a NugetHosting user account ("Account"). When you create an account, you agree to:
You are responsible and liable for all uses of the Services resulting from access provided by you, directly or indirectly. Without limiting the foregoing, you are responsible for all acts and omissions of anyone authorized to access or use the Services on your behalf ("Authorized Users"), and any act or omission by an Authorized User that would constitute a breach of these Terms if taken by you will be deemed a breach by you.
You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:
Each plan includes specific resource limits (storage, packages, downloads, bandwidth). Usage is subject to our Fair Use Policy. We reserve the right to throttle or suspend accounts that exhibit abusive patterns, excessive automated requests, or usage that degrades service quality for other users. API rate limits apply to all programmatic access. Brute force protection mechanisms may temporarily block IPs that exhibit suspicious authentication patterns.
The Service includes subscription-based plans with automatically recurring payments ("Subscription"). All Subscriptions are payable in accordance with payment terms in effect at the time the subscription becomes payable. You agree that by purchasing a Subscription, the Subscription will automatically renew, and you will be charged until you cancel. You must cancel your Subscription before it renews in order to avoid billing of the next billing cycle.

The Free plan is provided at no cost with limited resources. We reserve the right to modify Free plan limits, suspend inactive free accounts (no activity for 12 months), or discontinue the Free plan with 60 days notice. Free plan accounts have no uptime or support guarantees.
The Services and their entire contents, features, and functionality (including but not limited to the Website, software, text, displays, images, and the design, selection, and arrangement thereof) are owned by NugetHosting, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You retain full ownership of all packages, container images, and content you upload to NugetHosting ("User Content"). By using our service, you grant us a limited, non-exclusive, non-transferable license to store, transmit, cache, and serve your User Content solely as necessary to provide the Services.
NugetHosting, its logo, and all associated branding are trademarks of Loty LLC. You may not use our trademarks without prior written consent. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
If you choose to provide input and suggestions regarding existing functionalities, problems with, or proposed modifications or improvements to the Service ("Feedback"), then you hereby grant NugetHosting an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right and license to exploit the Feedback in any manner and for any purpose, including to improve the Service.
"User Content" refers to any information, data, or content that you upload, post, input, or submit while using the Service, such as NuGet packages, Docker container images, or profile information. NugetHosting treats your User Content as confidential information.
NugetHosting is not obligated to back up your User Content, and it may be deleted in accordance with these Terms. You are solely responsible for creating and maintaining backup copies of User Content.
By providing User Content via the Service, you represent and warrant that: (a) you are the creator and owner of the User Content, or have the necessary licenses and rights; (b) your User Content does not infringe any third-party rights; and (c) your User Content does not violate any applicable law.
We reserve the right (but have no obligation) to scan uploaded content for malware, license violations, or policy breaches. We may remove content or disable access to content that violates these terms, without prior notice in urgent cases, or with reasonable notice otherwise. You will be notified of any content removal with an opportunity to appeal.
We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe content hosted on NugetHosting infringes your copyright, you may submit a takedown notice to our designated agent at [email protected].
Your notice must include: identification of the copyrighted work, identification of the infringing material, your contact information, a statement of good faith belief, and a statement under penalty of perjury that the information is accurate.
Upon receiving a valid notice, we will promptly remove or disable access to the allegedly infringing material and notify the account holder, who may submit a counter-notification.
From time to time during the term of this agreement, either party ("Disclosing Party") may disclose or make available to the other party ("Receiving Party") information about its business affairs, products, confidential intellectual property, trade secrets, financial information, or other sensitive or proprietary information ("Confidential Information").
The Receiving Party shall maintain in confidence all Confidential Information and shall not disclose it to any person or entity, except to employees, agents, or subcontractors who have a legitimate need to know and who are required to protect the Confidential Information.
Confidential Information does not include information that: (a) is or becomes publicly known through no fault of the Receiving Party; (b) was already rightfully known to the Receiving Party; (c) was rightfully obtained from a third party without breach of any confidentiality obligation; or (d) was independently developed without access to the Confidential Information.
These Terms are effective beginning when you accept the Terms or first access or use the Service, and ending when terminated as described below.
Any violation of these Terms may result in immediate account termination without prior warning and without refund. We may suspend or terminate your Account or ability to access the Services at any time, for any or no reason, at our sole discretion, and without notice or liability.
You may terminate these Terms at any time by deleting your Account and discontinuing your use of all Services. You may delete your Account by accessing your account settings or by contacting us at [email protected].
Upon termination: (a) your license rights will terminate and you must immediately cease all use of the Service; (b) you will no longer be authorized to access your account; (c) you must pay NugetHosting any unpaid amount due prior to termination; (d) you will have a 30-day grace period to download your packages and data; and (e) provisions relating to intellectual property, limitation of liability, indemnification, confidentiality, and governing law shall survive termination.
You may export your packages and container images at any time through the standard NuGet and Docker APIs. Upon account termination or downgrade, you will have 30 days to export your data. We provide no additional migration tools beyond standard protocol support. You are solely responsible for retaining copies of any User Content you upload to the Service.
The Services may display, incorporate, or provide access to content, data, or materials from third parties ("Third-Party Materials") or provide links to third-party websites. NugetHosting integrates with third-party services including Stripe (payment processing) and SendGrid (email delivery). By using the Services, you acknowledge and agree that NugetHosting is not responsible for examining or evaluating the content, accuracy, or availability of such Third-Party Materials. We do not warrant or endorse any third-party products or services. Third-Party Materials are subject to their own terms and conditions.
WE PROVIDE THE SERVICES "AS IS" AND WITHOUT ANY REPRESENTATION OR WARRANTY, EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT REPRESENT OR WARRANT THAT THE SERVICES WILL BE ACCESSIBLE WITHOUT INTERRUPTION OR THAT THE SERVICES ARE FREE FROM ERRORS, DEFECTS, VIRUSES, OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.
We strive to maintain high availability and our infrastructure is designed for 99.9% uptime. Planned maintenance windows will be communicated in advance via email and the status page. NugetHosting reserves the right to modify or discontinue all or any portion of the Service at any time, temporarily or permanently, without notice. NugetHosting will have no liability for any change to the Service or any suspension or termination of your access.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL NUGETHOSTING BE LIABLE, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, STRICT LIABILITY, OR OTHER THEORY, FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH ANY USE OF, OR THE INABILITY TO USE, THE SERVICES.
IN NO EVENT WILL NUGETHOSTING'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION EXCEED THE GREATER OF (a) THE AMOUNT YOU HAVE PAID NUGETHOSTING IN THE LAST TWELVE (12) MONTHS, OR (b) ONE HUNDRED DOLLARS ($100).
YOU AGREE THAT ANY CAUSE OF ACTION THAT YOU MAY HAVE ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
You agree to indemnify and hold NugetHosting, its parents, subsidiaries, affiliates, suppliers, licensors, and partners, and the officers, directors, employees, agents, and representatives of each of them harmless, including costs, liabilities, and legal fees, from any claim or demand made by any third party due to or arising out of: (a) your access to or use of the Services, (b) any violation of these Terms (including negligent or wrongful conduct) by you, (c) the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity, or (d) User Content you upload to the Service.
NugetHosting shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, cyberattacks, pandemics, or failures of third-party service providers.
Except as described in the exceptions below, you and NugetHosting agree that every dispute arising in connection with these Terms or the Services will be resolved through binding arbitration. Arbitration uses a neutral arbitrator instead of a judge or jury, is less formal than a court proceeding, and is subject to very limited review by courts.
YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND NUGETHOSTING ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
Exceptions: Nothing in these Terms will be deemed to waive the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through the applicable agency if available; (c) seek injunctive relief in a court of law in aid of arbitration; or (d) file suit to address an intellectual property infringement claim.
Opt-Out: If you do not wish to resolve disputes by binding arbitration, you may opt out within 30 days after accepting these Terms by sending a letter to Loty LLC, Attention: Legal Department — Arbitration Opt-Out, specifying your full legal name, the email address associated with your account, and a statement that you wish to opt out of arbitration.
NO CLASS ACTIONS: YOU AND NUGETHOSTING AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
These Terms of Service and any claim arising out of these Terms will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
NugetHosting may publicly refer to you as a customer of NugetHosting, including on our website and in sales presentations, and may use your company logo for such purposes, unless you notify us otherwise in writing.
In connection with these Terms, you may be entitled to receive certain records from NugetHosting, such as contracts, notices, and communications, in writing. To facilitate your use of the Services, you give us permission to provide these records to you electronically instead of in paper form.
Our servers are located in the United States. If you are accessing the Services from another country, please be advised that you may be transferring your personal information to the United States and you consent to that transfer in accordance with this Terms of Service. You agree to comply with all local rules and applicable laws regarding the Internet, data, email, privacy, copyright, and trademark infringement. Any persons accessing our Services from any jurisdiction with laws different from those of the United States may only use the Services in a manner lawful in their jurisdiction.
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force. No waiver by NugetHosting of any term shall be deemed a further or continuing waiver. These Terms of Service, together with our Privacy Policy and Fair Use Policy, constitute the entire agreement between you and NugetHosting regarding the service, and supersede all prior agreements.
You may not assign these Terms, or any of your rights or obligations hereunder, without NugetHosting's prior written consent. NugetHosting may freely assign these Terms without your consent. Any attempted assignment in violation of this section will be null and void.
We may revise and update these Terms from time to time in our sole discretion. For material changes, we will provide at least 30 days advance notice via email or a prominent notice on the service. All changes are effective immediately when we post them. Continued use of the service after the effective date constitutes acceptance of the updated terms. If you disagree with the changes, you must stop using the service.
